AtlasClear announced a Letter of Intent to acquire Ark Financial Services, Inc. and its wholly owned subsidiary Dawson James Securities, Inc. The deal will close in two steps: AtlasClear will acquire an initial 24.9% interest upon execution of the definitive agreement, with the remaining interest to be acquired after FINRA approval.
The transaction will be paid in a combination of cash and AtlasClear common stock, with the final allocation of cash and stock to be set in the definitive agreement. The acquisition is part of AtlasClear’s broader strategy to expand its platform across origination, execution, clearing, and banking, and to add investment‑banking capabilities to its existing correspondent‑clearing operations.
The combined business is projected to operate at an annualized revenue run rate of approximately $45 million and generate about $5 million of net income. AtlasClear’s own Q1 FY2026 revenue was $4.25 million, so the acquisition represents a substantial boost to the company’s top‑line and profitability prospects.
