TopBuild Corp. Announces Acquisition of Johnson Roofing to Expand Commercial Roofing Platform

TopBuild Corp. (NYSE:BLD) entered into an agreement to acquire Johnson Roofing, a third‑generation commercial roofing installation company headquartered in Waco, Texas. Johnson Roofing reports roughly $29 million in annual revenue and serves commercial roofing projects across Texas, Louisiana and Oklahoma. The deal, which has not yet closed, is expected to add a strong presence in the highly fragmented Texas market and broaden TopBuild’s geographic reach.

The acquisition is a key component of TopBuild’s strategy to diversify beyond residential insulation and grow its commercial and industrial segments, which now account for about 40 % of the company’s sales. By adding Johnson Roofing’s established customer base and experienced field teams, TopBuild aims to capture larger, multi‑project contracts and cross‑sell its insulation and specialty products, creating new revenue and margin opportunities in the commercial roofing market.

TopBuild’s Q3 2025 results underscored the strength of its commercial focus: revenue rose 1.4 % to $1.4 billion, driven by a 0.2 % increase in Installation Services and a 1.4 % rise in Specialty Distribution. Adjusted EBITDA margin was 19.8 %, reflecting disciplined cost control amid incremental amortization and higher interest expenses. Management expressed confidence in the company’s ability to maintain profitability while expanding its commercial footprint.

The transaction’s financial terms have not been disclosed, and the deal remains subject to customary closing conditions. TopBuild will report its Q4 2025 earnings on February 26 2026, where it is expected to provide updated guidance that incorporates the impact of the Johnson Roofing acquisition.
