BT Brands announced that its merger partner Aero Velocity Inc. and other members of the AeroShield Alliance will establish a new headquarters in Mississippi, expanding the alliance’s public‑sector infrastructure technology footprint and supporting workforce development initiatives in rural Mississippi through partnerships with Holmes Community College and local government leaders.

The announcement follows the September 2025 definitive merger agreement, under which the combined entity will be renamed Aero Velocity Inc. and trade on the Nasdaq Capital Market. The new Mississippi location is expected to accelerate the deployment of AI‑driven infrastructure analytics and drone‑based data collection across state and local government markets.

The move signals progress toward completing the merger and spin‑off structure that will separate BT Brands’ restaurant operations into a standalone public entity while granting shareholders an 11% equity stake in the technology platform. This milestone underscores the company’s pivot from restaurant to technology and could influence investor perception of the merger’s feasibility and timeline.

The headquarters will support workforce development initiatives in rural Mississippi, partnering with Holmes Community College and local government leaders. Mississippi’s growing aerospace and technology ecosystem, including initiatives like the Aerospace Alliance and the presence of drone manufacturers, provides a supportive environment for the alliance’s government contracts and drone services.

BT Brands received a Nasdaq compliance notice in January 2026 for failing to hold an annual shareholder meeting for FY 2024, with a compliance plan due by March 2, 2026. The merger agreement has a termination deadline of April 30, 2026 if the special meeting to approve it is not held, adding a time constraint to the integration process.

Aero Velocity CEO Mark Hastings noted that “The application of UAV technologies throughout the value chain is still in its infancy. We are eager to push the boundaries of what drones can contribute in the way of safety, cost savings and other efficiencies.” This statement reflects the alliance’s focus on expanding drone capabilities and the strategic value of the new headquarters.
