Community Health Systems to Sell Four Arkansas Hospitals to Freeman Health System for $112 Million

Community Health Systems (NYSE: CYH) has agreed to sell four of its Arkansas hospitals—Northwest Medical Center in Bentonville (128 beds), Northwest Medical Center in Springdale (222 beds), Northwest Medical Center Willow Creek Women’s Hospital (64 beds), and Siloam Springs Regional Hospital (73 beds)—to Freeman Health System for a total consideration of $112 million. The transaction is expected to close in the second quarter of 2026 and will transfer ownership and operation of the facilities to Freeman, expanding the buyer’s footprint in the state.

The sale is part of CYH’s ongoing portfolio‑pruning strategy, which has already seen the divestiture of ten hospitals and ancillary assets since August 2024. By shedding these four facilities, CYH will generate significant cash, reduce its debt load, and lower its leverage ratio from 7.4× at the end of 2024 to 6.7×, strengthening the company’s balance sheet and freeing capital for higher‑margin ambulatory services and core rural markets.

The $112 million proceeds will be used to pay down debt, directly contributing to CYH’s goal of deleveraging and improving financial flexibility. The transaction also signals a strategic shift toward more profitable service lines, as the company moves away from legacy hospital operations that have historically carried higher fixed costs and lower margins.

For Freeman Health System, the acquisition adds 447 beds across four locations, broadening its service network in Arkansas and positioning the company to capture a larger share of the regional healthcare market.
