Ecolab to Acquire CoolIT Systems for $4.75 Billion

Ecolab Inc. announced a $4.75 billion all‑cash acquisition of CoolIT Systems, a high‑growth liquid‑cooling technology provider for next‑generation AI data centers. The transaction is being financed with new debt and is expected to close in the third quarter of 2026, with CoolIT’s current sales projected at approximately $550 million over the next 12 months.

The purchase expands Ecolab’s Global High‑Tech portfolio and positions the company in the rapidly growing AI data‑center market. CoolIT’s direct‑liquid‑cooling solutions are already deployed by hyperscale and colocation operators, and the acquisition is expected to double Ecolab’s Global High‑Tech market opportunity from $5 billion to $10 billion. Ecolab’s guidance for the first quarter of 2026 shows adjusted diluted earnings per share in the $1.69 to $1.71 range, and the full‑year 2026 guidance (excluding CoolIT) is $8.43 to $8.63. Management expects the transaction to be accretive to adjusted diluted earnings per share beginning in 2028, and to accelerate the Global Water segment’s organic sales growth rate by 2% and the company’s total organic sales growth rate by 1%.

The acquisition is expected to enhance Ecolab’s margin profile, as CoolIT’s high‑margin business will lift overall profitability. Integration plans will focus on combining CoolIT’s technology with Ecolab’s water and chemical expertise, leveraging existing customer relationships and digital platforms to accelerate deployment in AI data centers.
