EVERTEC, Inc. (EVTC) announced on February 2, 2026 that it will acquire Dimensa, S.A., a Brazilian B2B technology provider that serves financial institutions, for a transaction value of R$950 million—approximately US$181 million at current exchange rates. The deal will be executed through EVERTEC’s wholly‑owned subsidiary, Evertec Brasil Informática S.A., and is expected to close in the second quarter of 2026 after receiving regulatory approval from Brazil’s Administrative Council for Economic Defense (CADE). The transaction will be funded entirely from EVERTEC’s existing liquidity, avoiding any new debt or equity issuance.
The acquisition expands EVERTEC’s presence in Brazil by adding more than 15,000 customers and a suite of technology solutions that support banks, payment processors, and insurance providers. By integrating Dimensa’s capabilities, EVERTEC aims to strengthen its Latin America Payments and Solutions segment, which has been a key growth engine for the company. The deal also accelerates the deployment of EVERTEC’s processing platform across Brazil’s fragmented banking sector, positioning the company to capture a larger share of the country’s rapidly growing digital‑payment market driven by PIX and Open Finance initiatives.
EVERTEC has a track record of successful acquisitions in Brazil, having previously acquired PaySmart and Sinqia in 2023 and Tecnobank in 2025. The integration of Dimensa will build on that experience, but the company acknowledges that talent retention and maintaining client relationships are critical risks. Successful integration will depend on retaining key personnel and ensuring continuity of service for Dimensa’s existing clients.
Dimensa was a joint venture between Totvs and B3 that specialized in financial product and service infrastructure. Totvs decided to divest its stake to focus on core businesses, creating an opportunity for EVERTEC to acquire a local partner with deep expertise in Brazil’s fintech ecosystem. The acquisition positions EVERTEC to benefit from the country’s high digital‑adoption rate and regulatory pushes that favor integrated B2B fintech solutions.
