Snow Lake Resources Ltd. (NASDAQ: LITM) has moved its acquisition of Global Uranium and Enrichment Limited (GUE) closer to completion after the Federal Court of Australia approved the transaction on February 3 2026. The court decision followed shareholder approval at the GUE scheme meetings on January 27, 2026, and clears the final regulatory hurdle for the deal, which is expected to close by mid‑February 2026.
The transaction values GUE at approximately AUD 35.5 million, or about US$30 million, and will be paid in newly issued Snow Lake shares. The share‑based structure allows Snow Lake to expand its nuclear fuel cycle footprint without a cash outlay, while giving GUE shareholders a direct stake in the combined entity.
Strategically, the acquisition gives Snow Lake a full‑cycle presence in the U.S. uranium market. GUE owns exploration and development assets in the Powder River Basin, the Tallahassee Creek District, and the Athabasca Basin, and holds a 21.9 % indirect stake in Ubaryon Pty Ltd, a developer of chemical‑separation enrichment technology. The move aligns with U.S. policy to strengthen domestic nuclear fuel supply chains and supports Snow Lake’s goal of becoming a vertically integrated provider of uranium and enriched fuel.
GUE’s enrichment capabilities are a key differentiator. By adding Ubaryon’s technology, Snow Lake gains access to a low‑cost, low‑radioactivity enrichment pathway that could reduce production costs and improve margins for future fuel supply contracts. The technology also positions the company to meet growing demand for clean, low‑carbon energy in the U.S. and globally.
Snow Lake’s financials show a net loss of CAD 15.99 million for the year ended June 30 2025, a decline from CAD 6.85 million a year earlier. The share‑based nature of the GUE transaction mitigates immediate cash pressure, allowing the company to pursue strategic growth while managing its balance sheet.
