NeoVolta has increased its ownership interest in NeoVolta Power, LLC from 60% to 80%, issuing approximately 1.2 million common shares to acquire the remaining 20% stake held by CCC, a U.S. subsidiary of PotisEdge. The transaction gives NeoVolta full board and operational control of the joint venture without requiring any new cash outlay.
The expanded agreement with PotisEdge now covers sales, marketing, and business development, providing NeoVolta Power with additional commercial expertise while NeoVolta retains its own internal sales and marketing capabilities. The deal also includes an Asset Purchase Agreement in which NeoVolta Power will acquire $9 million of manufacturing equipment from CCC, further strengthening the domestic production footprint.
NeoVolta’s management highlighted that the restructuring aligns the joint venture with IRS Section 45X Advanced Manufacturing Production Tax Credits and Section 48E Investment Tax Credits, simplifying eligibility for federal incentives and reinforcing the company’s domestic manufacturing strategy. NeoVolta will continue to consolidate NeoVolta Power’s financial results under U.S. GAAP, with minority interests reported as non‑controlling interests.
Strategically, the move consolidates NeoVolta’s control over its Georgia battery‑manufacturing platform, reduces governance complexity, and positions the company to capture the full economic benefit of U.S. tax incentives. The expanded commercial partnership with PotisEdge is intended to accelerate market penetration by leveraging PotisEdge’s sales network while maintaining NeoVolta’s own commercial execution.
In the broader context, NeoVolta has recently been named Energy Storage Company of the Year, secured a $1.9 million order from Luminia, and reported Q2 FY2026 revenue of $4.6 million with a net loss of $5.5 million. The ownership and commercial expansion reinforce NeoVolta’s focus on domestic manufacturing and market growth, supporting its long‑term strategy to scale battery production and capture growing demand for energy storage solutions.
