NXP Sells MEMS Sensor Unit to STMicroelectronics, Expands Automotive Connectivity Focus

NXP Semiconductors completed the sale of its MEMS sensor business to STMicroelectronics for $900 million in cash, with an additional $50 million contingent on technical milestones, and used the proceeds to reinforce its automotive connectivity and software‑defined vehicle (SDV) capabilities.

The divestiture removes a low‑margin, low‑growth segment that had been a drag on NXP’s operating leverage. By shedding the MEMS unit, the company can reallocate capital and engineering resources to higher‑margin automotive and industrial businesses, particularly its growing physical‑AI platform and edge‑AI solutions.

NXP’s Q4 2025 results, released on the same day, showed revenue of $3.34 billion—up 7% YoY—and non‑GAAP diluted EPS of $3.35, beating consensus by $0.05. The earnings beat was driven by strong demand in the automotive and industrial & IoT segments, offsetting a 18% decline in the Communications Infrastructure & Other segment. Operating margin rose to 34.6% from 34.2% a year earlier, reflecting the higher mix of high‑margin automotive contracts and disciplined cost management.

Management guided for Q1 2026 revenue of $3.05 billion to $3.25 billion, a midpoint of $3.15 billion that represents an 11% YoY increase but a 6% sequential decline. The guidance signals confidence in long‑term growth while acknowledging short‑term headwinds such as inventory digestion and a weaker communications infrastructure market. The company also reiterated its target of expanding gross margins above 60% and doubling non‑GAAP EPS by 2030.

Investors reacted cautiously, citing the sequential revenue dip, potential margin pressure, and the ongoing decline in the communications infrastructure segment. Despite the earnings beat, the market’s focus on near‑term challenges tempered enthusiasm for the strategic shift.
