OpenText Sells Vertica Analytics Platform to Rocket Software for $150 Million

OpenText has agreed to sell its Vertica analytics database platform to Rocket Software Inc. for $150 million in cash, with the transaction expected to close in fiscal 2026 after regulatory approvals.

Vertica generated about $80 million in revenue for OpenText in fiscal 2025, roughly 6 % of the company’s $1.29 billion total revenue reported in Q1 FY2026. The sale removes a non‑core analytics product that has not aligned with OpenText’s cloud‑first, AI‑enabled data connectivity strategy.

The proceeds will be used to reduce OpenText’s outstanding debt, strengthening its balance sheet and freeing capital for investment in high‑growth cloud and AI initiatives. The divestiture is part of a broader portfolio rationalization that has already seen the sale of the Application Modernization and Connectivity business to Rocket Software in 2024, the eDOCS unit in October 2025, and another non‑core unit for $163 million in January 2026.

Rocket Software will assume all Vertica software, customer contracts, services and employees. The buyer’s experience in integrating data‑centric businesses and its backing by Bain Capital position it to accelerate Vertica’s growth in the enterprise analytics market.

P. Thomas Jenkins, OpenText’s Executive Chairman and Chief Strategy Officer, said, “We are executing on our strategic plan, focusing on our core product offerings and the secure data foundation for enterprise AI. Rationalizing non‑core assets strengthens our portfolio and reinforces our capital allocation framework.” Interim CEO James McGourlay added that the transaction places Vertica with a “strong, committed steward” and that OpenText will work closely with Rocket Software to ensure a smooth transition for customers.
