Patria Investments Announces Acquisition of WP Global Partners, Expanding U.S. Private‑Equity Footprint

Patria Investments Limited announced that it will acquire WP Global Partners, a U.S.‑based private‑equity solutions manager that focuses on the lower‑middle market. The all‑cash deal values WP at 1.7 % of its fee‑earning assets under management, which translates to a base price of approximately $30.6 million, and includes a performance earn‑out payable in 2029.

The transaction adds roughly $1.8 billion of fee‑earning assets to Patria’s portfolio, boosting its pro‑forma Global Private Markets Solutions (GMPS) fee‑earning assets to more than $13.3 billion as of the third quarter of 2025. The addition is expected to be accretive to Patria’s fee‑related earnings (FRE) and distributable earnings (DE) in the first year, building on a Q4 2024 FRE of $54.8 million—an 18 % year‑over‑year increase—and a 59 % FRE margin.

Strategically, the purchase strengthens Patria’s “solutions provider” model by adding a team of over ten experienced investment professionals and a pipeline of lower‑middle‑market deals. WP’s focus on this segment complements Patria’s existing infrastructure, credit, and real‑estate platforms, positioning the firm to capture a larger share of the growing U.S. private‑equity market while maintaining its emphasis on high‑margin, recurring‑revenue vehicles.

Marco D’Ippolito, Patria’s Managing Partner, said the deal “broadens the universe of GPs in our ecosystem and strengthens our product offering across private‑equity primaries, secondaries and co‑investments in the U.S. lower‑middle market.” Donald Phillips, Chairman and CEO of WP Global Partners, added that Patria’s entrepreneurial culture and diversified global platform made it an ideal home for WP’s team and clients.

The acquisition aligns with Patria’s broader growth strategy, which has included recent purchases of Solis Investimentos and RBR Gestão.
