Seabridge Gold Spins Out Courageous Lake Project into Valor Gold Corp.

Seabridge Gold Inc. announced that it will spin out its 100 % interest in the Courageous Lake gold project, located in the Northwest Territories, into a newly formed company, Valor Gold Corp. The transaction will be carried out through a court‑approved plan of arrangement and will be completed after a shareholder vote scheduled for June 2026.

Under the arrangement, Valor will receive C$10 million in cash from Seabridge’s treasury to fund initial exploration, engineering, and permitting work. In exchange, all Valor shares will be distributed to Seabridge shareholders on a one‑to‑one basis, giving them a direct stake in the new entity while allowing Seabridge to retain its focus on the flagship KSM project.

The spin‑out is intended to unlock value in the Courageous Lake asset by creating a dedicated platform that can attract targeted investment and accelerate development. By separating the project, Seabridge can devote resources and management attention to KSM, one of the world’s largest undeveloped gold projects, while Valor can pursue a focused growth strategy for Courageous Lake.

Mark J. Ashley, a veteran mining executive who grew LionOre Mining International from a junior miner to a multi‑billion‑dollar producer, has been appointed as Valor’s chief executive officer and director. Ashley’s track record in scaling mining operations and securing capital is expected to drive Valor’s exploration and permitting agenda.

Courageous Lake contains 11 million ounces of measured and indicated resources and 3.3 million ounces of inferred resources, with 2.8 million ounces of proven and probable reserves. The project’s high‑grade open‑pit potential and proximity to the Walsh Lake satellite deposit make it a compelling standalone venture.

Valor plans to seek a listing on the Toronto Stock Exchange and the OTCQB Venture Market, with a potential NYSE listing later. The company will use the C$10 million to design a drill program that will systematically evaluate regional exploration targets and advance engineering studies.
