SAP SE announced a definitive agreement to acquire Dremio, a high‑performance data lakehouse platform, to accelerate agentic AI and unify SAP and non‑SAP data for real‑time analytics. The terms of the deal are undisclosed and the transaction is pending regulatory approval.

Dremio’s platform is built on Apache Iceberg and offers an open lakehouse that eliminates data fragmentation, enabling customers to move from raw data to governed, AI‑ready intelligence on a single platform. The acquisition will allow SAP to offer an Apache Iceberg‑native enterprise lakehouse that supports real‑time transactions and operational performance through SAP HANA Cloud.

The deal fits into SAP’s “AI‑First, Suite‑First” strategy. By integrating Dremio, SAP can build a universal, open catalog based on Apache Polaris and the Iceberg REST Catalog API, forming the foundation of the SAP Knowledge Graph. This positions SAP to compete with cloud data providers that also support Iceberg, such as Databricks and Snowflake.

SAP also announced the acquisition of Prior Labs, a company focused on tabular foundation models for structured data, alongside Dremio. The dual acquisition signals a comprehensive push to strengthen both the data layer and the model layer of SAP’s AI strategy, with significant investment planned for Prior Labs.

Management emphasized the strategic fit. Philipp Herzig said, “Enterprise AI doesn't stall because the models aren't good enough; it stalls because the data isn't ready for AI agents. Dremio eliminates that bottleneck. Combined with SAP Business Data Cloud, we can now take customers from raw, fragmented data to governed, AI‑ready intelligence on a single open platform.” Dremio’s CEO, Sendur Sellakumar, added, “This acquisition will give us the scale and backing to accelerate our agentic vision, while also incorporating innovative SAP technologies.”
