SAP SE announced today that it will acquire Prior Labs, a leading developer of tabular foundation models (TFMs), in a definitive agreement that is still pending regulatory approval. The transaction, which was disclosed in a press release dated May 04, 2026, will allow SAP to integrate Prior Labs’ advanced TFM technology into its AI portfolio, including SAP Business AI, SAP Business Data Cloud, and the agentic layer with Joule. SAP committed to invest more than €1 billion over the next four years to scale the research team and bring the technology to enterprise customers.

Prior Labs, headquartered in Freiburg, Germany, has built a reputation for high‑performance TFMs that excel at predicting outcomes from structured business data such as payment delays, supplier risks, and customer churn. By adding this capability to its suite, SAP aims to deepen its competitive moat in enterprise AI, where large language models struggle with tabular data. The acquisition is expected to accelerate SAP’s strategy of embedding AI across its cloud ERP and other applications, providing customers with predictive insights that are tightly coupled to their business processes.

The deal terms were not disclosed, and the transaction remains subject to customary closing conditions, including regulatory approval. Once closed, Prior Labs will continue to operate as an independent entity within SAP, preserving its research velocity while gaining access to SAP’s data environment, customer base, and product integration pathways. The move positions SAP to lead the emerging TFM market and further differentiate its AI‑first, suite‑first strategy in the enterprise software landscape.
