Southwest Gas Holdings Terminates Cooperation Agreement With Icahn Group, Retains Board Members

Southwest Gas Holdings, Inc. (SWX) announced that it has terminated its cooperation agreement with the Icahn Group, effective February 11, 2026. The agreement, originally dated October 14, 2025, is now nullified, ending all rights and obligations that had been granted under the pact.

The termination does not alter the composition of the board. The three directors—Andrew W. Evans, Henry P. Linginfelter, and Ruby Sharma—who were nominated under the cooperation agreement will continue to serve and are expected to be renominated for the 2026 annual meeting. In addition, long‑serving director Anne L. Mariucci has announced her retirement after the 2026 meeting, marking a planned succession for the board.

Carl Icahn’s involvement with Southwest Gas began in 2021, and the October 2025 agreement was a revised settlement that required the nomination of four Icahn designees. The February 2026 termination ends that formal activist arrangement, although Icahn remains a significant shareholder with a stake that has at times reached 12.64%.

The company is simultaneously pursuing a strategic transformation that includes the separation of its Centuri Group. The move is intended to position Southwest Gas as a pure‑play, fully regulated natural gas utility, and the dissolution of the cooperation agreement aligns with that broader objective.

Financially, Southwest Gas reported Q3 2025 earnings of $270.5 million, a decline from the prior quarter but a year‑over‑year increase. Trailing‑twelve‑month earnings through September 30, 2025, reached $463.9 million, up 157.6% YoY. The company’s credit rating was upgraded to BBB+, and it declared a first‑quarter 2026 cash dividend of $0.62 per share, payable March 2, 2026.
