Venu Holding Corporation released preliminary results for the fourth quarter and full year ended December 31, 2025, showing a 8.6% rise in restaurant revenue and a doubling of total assets to just over $354 million.

Restaurant revenue climbed to $4.4‑$4.8 million in Q4, up 8.6% from $4.3 million in Q4 2024, driven by the mid‑November opening of Roth’s Sea & Steak in Colorado Springs. Total revenue for the year reached $126 million, a 62% increase from $77.7 million in 2024, largely powered by sales of the Luxe FireSuite and Aikman Club programs.

Total assets grew to $354‑$355 million, a 100% year‑over‑year increase, while debt rose sharply from $25.6 million to $59 million, reflecting financing for new venue construction and property acquisitions. The company’s Altman Z‑Score fell to 1.52, indicating heightened bankruptcy risk.

Management highlighted a first development profit of $6.2 million in Q4, generated by a sale‑leaseback of parking property at the Colorado Springs campus. Ticketing revenue, a higher‑margin stream, is expanding as the company opens new venues in Broken Arrow, McKinney, El Paso, and Houston, and as premium hospitality offerings launch.

CEO JW Roth said the shift toward ticketing revenue is gaining traction and that the company aims to achieve operational profitability by the end of 2026. He also noted that the asset growth and development profit signal progress toward that goal.

Investors reacted with concern after the company announced a registered underwritten public offering of approximately $75 million of common stock, with an option for an additional $11.25 million. The combination of dilution fears and the sharp rise in debt contributed to a negative market response.
