Vertiv Holdings Co. announced the completion of its acquisition of BMarko Structures, a structural fabrication company based in Williamston, South Carolina, on April 13, 2026. The deal expands Vertiv’s manufacturing footprint by adding a 560,000‑square‑foot engineering and fabrication facility that will bring structural fabrication in‑house and accelerate delivery of AI‑ready data‑center infrastructure.

BMarko, founded in 2014, has built a reputation for high‑precision structural components used in data‑center racks and cabinets. The acquisition is expected to give Vertiv tighter control over material sourcing, reduce lead times, and enable more customized solutions for hyperscale customers building AI data centers.

Vertiv’s recent financial performance provides context for the deal. In its Q4 2025 earnings, the company reported non‑GAAP earnings per share of $1.36, beating analyst estimates by $0.07 and a 5.8% margin. Net sales rose 22.7% to $2.88 billion, slightly missing consensus estimates by $0.07. The company’s adjusted operating margin expanded to 23.2%, up 170 basis points year‑over‑year, driven by operational leverage on higher volumes and productivity gains.

Management highlighted that the AI infrastructure boom is a key driver behind both the acquisition and the strong earnings. CEO Gio Albertazzi said the company’s “leadership position in an increasingly complex and demanding data‑center market” is reinforced by the acquisition, which will help customers move faster and achieve better systems‑level performance.

The transaction also fits into Vertiv’s broader strategy of vertical integration. Earlier in 2025, Vertiv completed the purchase of Great Lakes Data Racks & Cabinets and announced the acquisition of PurgeRite, a liquid‑cooling solutions provider. Together, these moves position Vertiv as a full‑spectrum supplier for the AI supercycle, from structural fabrication to cooling and rack solutions.

Analysts have responded to the deal with a mix of optimism and caution. While some upgraded their outlooks on Vertiv’s growth prospects, others noted the company’s high valuation and potential margin pressure from increased capex. The acquisition is seen as a strategic bet on sustained demand for AI data‑center infrastructure, but investors remain attentive to how quickly the company can integrate BMarko’s operations and realize cost synergies.
