ExxonMobil Board Approves Move to Texas Legal Domicile

ExxonMobil’s board of directors unanimously recommended that shareholders approve a change of the company’s legal domicile from New Jersey to Texas, aligning the legal home with its operational headquarters. The vote will take place at the company’s annual shareholder meeting on May 27 2026.

The move is driven by Texas’s business‑friendly environment, including modernized statutes and the Texas Business Court, which provides clear, statute‑based standards for corporate disputes. ExxonMobil expects reduced litigation risk, particularly against shareholder and climate‑related lawsuits.

CEO Darren Woods said, "Over the past several years, Texas has made a noticeable effort to embrace the business community. In doing so, it has created a policy and regulatory environment that can allow the company to maximize shareholder value." He added, "Aligning our legal home with our operating home, in a state that understands our business and has a stake in the company’s success, is important."

ExxonMobil’s legal domicile has been New Jersey since its 1882 incorporation as Standard Oil of New Jersey, but the company has operated from Texas since 1989 and has not held a board meeting in New Jersey for more than 40 years. The company states that shareholder rights under Texas law are largely comparable to, and in some areas stronger than, those under New Jersey law, and it has no plans to adopt Texas provisions that would diminish rights.

The redomiciling aligns with a broader trend of high‑profile firms, such as SpaceX, Tesla, and Coinbase, moving their legal incorporation to Texas to benefit from the state’s favorable regulatory climate.
