Expro Group Holdings Announces Redomicile to Cayman Islands

Expro Group Holdings N.V. announced a plan to change its corporate domicile from the Netherlands to the Cayman Islands. The plan involves a series of mergers: Expro will merge into Expro Luxembourg S.A., which will then merge into Expro Ltd (Expro Cayman). Each existing shareholder will receive one ordinary share of Expro Cayman for each share of Expro common stock held. Shares will continue trading on the NYSE under ticker XPRO until the redomicile is completed, after which they will be listed under the same ticker.

The company reported earnings per share of $0.21 versus consensus estimates of $0.26, and revenue of $382 million versus an expected $410.7 million. The miss reflects weaker demand in certain segments and higher cost pressures, underscoring the company’s need for operational efficiencies that the redomicile may help achieve.
